Talk on Start-Up Due Diligence and Deal structuring by Deepam Mishra

Deepam Mishra , CEO of i2 India Ventures, will talk on Due Diligence and Deal Structuring, specifically for start-ups. He is an experienced technology commercialisation expert and a serial entrepreneur, with over 13 years of experience at Stanford Research International, USA.

The Session

Mishra’s session will highlight the key factors that are essential for a successful start-up. He will explain in detail the key set attributes that he looks out for while evaluating a business plan. Mishra having played both the role of an entrepreneur and an investor will bring along with him his experiences on both sides of the table to the discussion. His valuable insights on the mindset of an entrepreneur as well as that of an investor will help the participants understand where the gaps typically are and what needs to be done to bridge those gaps.

Designing Term Sheet by Sundari R Pisupati

Sundari R Pisupati, Founder Partner of Tempus Law Associates, is a licensed attorney in New York and India. She has over 16 years of experience as a lawyer both in India and the USA and has handled a variety of large corporate and commercial transactions involving domestic and international clients. She has extensive experience counseling domestic, multinational corporations, including start-ups on multi-disciplinary aspects of law relating to incorporation and setting up the companies, advising them on all matters of corporate law, drafting, reviewing and negotiating various commercial contracts, employment issues and advising them on capital raising, joint ventures, M&A and securities issues among others.

Pisupati worked at the law firm of Sidley Austin Brown & Wood, New York for several years in the corporate and securities group. At Sidley, her experience included participation in all aspects of initial and secondary public offerings for domestic, foreign issuers and underwriters, and she was also part of the securitisation group.

Pisupati received her Master in Law degree from Columbia University School of Law, New York, NY and her Bachelor of Laws degree from The National Law School of India University, Bangalore, where she was the valedictorian.

 

The Session

One of the most critical aspects for a VC while finalising a partnership is to design the term sheet detailing the terms of the investment. From Dividend Rights to Exit Route, Confidentiality clauses to Voting Rights, term sheets will have it all and will guide the engagement. It is important for both the VCs and Entrepreneurs to understand what a term sheet and its components are. This session is to help achieve that goal. The broad achievements of the session are as follows:

  • To introduce the concept of term sheets 
  • Negotiation of the line items that are critical from a VC/Investor’s point of view

Valuation Workshop by Pratik K Singhi

Pratik K Singhi is a thoroughbred finance professional with over 13 years of industry exposure. He possesses rich functional and managerial experience in the fields of corporate finance, consulting and financial analytics. A rank holding CA and CWA, and an MBA, he is a visiting/guest faculty at numerous b-schools and has empanelled as a professional faculty with Bombay Chartered Accountants Society, BSE Training Institute: Equity Valuation, D&B Financial Education Solutions, FTKMC (Financial Technologies Knowledge Mgt Center), IBS Alumni Federation, Western India Regional Council of the ICAI.
