Abstract
Rai hailed from a humble background. As a first-generation entrepreneur, over the last three decades he had built a successful automotive business under the umbrella of SEL. Rai and his wife Supriya along with their three sons were a close- knit family. Whilst the two older sons were deeply involved in business, the third son was completing his engineering degree. Supriya a dentist by profession also engaged in the philanthropic activities of Supriya foundation – the CSR arm of business. Rai had seen the dissolution of many families for want of governance, and hence early on his business career decided to formulate a family constitution. His single intent was to safeguard the family kinship and business longevity. The case not only reveals the process adopted by Rai in formulation of family constitution, the contents of the constitution for family governance, but his ability to focus on capacity building in all family members. The case closes with Rai reflecting on a satisfying journey thus far and hoping that their family constitution was comprehensive to take care of different conflicting scenarios.
